Vinora Terms & Conditions for Website and App Use

Please read these Terms and Conditions ("Terms") carefully before accessing or using the Vinora website (vinoraai.wine), mobile application ("App"), or any associated services (collectively, the "Platform"). These Terms constitute a legally binding agreement between you and Digital Pulse 365 Ltd ("we", "us", or "Vinora"), a company registered in England and Wales.

By creating an account, downloading the App, or using any part of the Platform, you confirm that: (i) you have read and understood these Terms; (ii) you are of legal age to enter into a binding contract in your jurisdiction; and (iii) where applicable, you have authority to bind any organisation on whose behalf you act. If you do not agree to these Terms, please discontinue use immediately.

1. About the Platform

Vinora is an AI-powered wine discovery and exploration platform operated by Digital Pulse 365 Ltd. The Platform enables users to discover, learn about, and personalise their wine experience through intelligent recommendations, community features, and curated content.

Following our migration from vinorawine.com to vinoraai.wine, all services are now operated exclusively through the new domain. Previous links and references to vinorawine.com will be redirected accordingly.

2. Eligibility and Account Registration

2.1 Age Requirement

You must be of legal drinking age in your country of residence — and in no case under 18 years of age — to use the Platform. By registering, you confirm compliance with this requirement. Vinora reserves the right to terminate accounts where age misrepresentation is suspected.

2.2 Account Creation

To access certain features, you will need to create an account, either directly or via a supported third-party provider (such as Google or Apple). You agree to:

• Provide accurate, current, and complete registration information.
• Keep your credentials confidential and not share access with third parties.
• Notify us promptly at support@vinoraai.wine if you suspect unauthorised access to your account.
• Take responsibility for all activity conducted through your account.

Vinora reserves the right to suspend or terminate accounts that violate these Terms or are found to contain fraudulent information.

3. Licence to Use the Platform

Subject to your compliance with these Terms, Vinora grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Platform for your own lawful purposes. This licence does not permit you to:

• Sublicence, sell, resell, or commercially exploit any part of the Platform.
• Reproduce, copy, frame, or mirror the Platform or its content without our prior written consent.
• Use automated tools, scrapers, bots, or crawlers to access or extract data from the Platform.
• Reverse engineer, decompile, or disassemble any component of the Platform's software.
• Use the Platform in a manner that violates applicable laws or third-party rights.

Vinora reserves all rights not expressly granted herein. Any unauthorised use automatically terminates this licence.

4. Platform Updates and Availability

The Platform is continuously developed and improved. We may release updates, introduce or retire features, or temporarily restrict access for maintenance — with or without prior notice. We will make reasonable efforts to communicate significant changes via the App or our website.

We do not guarantee uninterrupted or error-free access to the Platform. To the fullest extent permitted by law, Vinora shall not be liable for any disruption, suspension, or discontinuation of service.

5. Content and Intellectual Property

5.1 Vinora Content

All content on the Platform — including but not limited to text, graphics, AI-generated recommendations, wine data, brand assets, and software — is owned by or licenced to Digital Pulse 365 Ltd and protected by applicable copyright, trademark, and intellectual property laws. The Vinora name, logo, and "Vinora AI" mark are trademarks of Digital Pulse 365 Ltd and may not be used without prior written consent.

5.2 Your Content

You retain ownership of any content you submit to the Platform ("User Content"), including reviews, ratings, notes, and profile information. By submitting User Content, you grant Vinora a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sub-licensable licence to use, reproduce, modify, publish, and display such content in connection with operating and promoting the Platform.

You represent and warrant that your User Content: (i) is your original work or you have the rights to submit it; (ii) does not infringe any third-party intellectual property or privacy rights; and (iii) complies with these Terms and applicable law.

5.3 Responsibility for Content

You are solely responsible for the User Content you submit. Vinora does not endorse any User Content and reserves the right — without obligation — to remove content that violates these Terms, applicable law, or community standards.

6. Acceptable Use

You agree not to use the Platform to:

• Post content that is unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
• Impersonate any person, entity, or Vinora representative.
• Upload or transmit viruses, malicious code, or any content designed to disrupt the Platform.
• Circumvent or interfere with any security features or access controls.
• Harvest or collect personal data of other users without consent.
• Engage in any commercial solicitation or spam via the Platform's messaging or community features.

Vinora may investigate suspected violations and cooperate with law enforcement authorities. Accounts found in breach of these provisions may be suspended or permanently terminated.

7. Subscriptions and Purchases

Certain features of the Platform may be offered on a paid subscription basis. All purchases are governed by our Terms of Sale, which are incorporated into these Terms by reference. You agree to provide accurate billing information and authorise us to charge the applicable fees.

Subscription fees are non-refundable except as required by applicable law or as expressly stated in our refund policy. We reserve the right to modify pricing with reasonable notice.

8. Privacy and Data

Your use of the Platform is subject to our Privacy Policy, available at vinoraai.wine/privacy, which explains how we collect, use, and protect your personal data. 9. AI-Powered Features

They do not constitute professional or commercial advice. Vinora does not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.

You should exercise your own judgement when acting on any recommendation. Vinora accepts no liability for decisions made in reliance on AI-generated content.

10. Third-Party Links and Integrations

The Platform may contain links to third-party websites or integrate with third-party services (e.g., social sign-in providers). These are provided for convenience only. Vinora does not endorse, control, or accept responsibility for the content or practices of any third-party service. Your use of such services is at your own risk and subject to their respective terms.

11. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VINORA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be error-free, uninterrupted, secure, or free of viruses or other harmful components.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DIGITAL PULSE 365 LTD, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE PLATFORM.

Our total aggregate liability for any claim arising under or related to these Terms shall not exceed the greater of: (a) the amount you paid to Vinora in the twelve months preceding the claim, or (b) £100.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.

13. Indemnity

You agree to indemnify, defend, and hold harmless Digital Pulse 365 Ltd and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from: (i) your use of the Platform; (ii) your User Content; (iii) your breach of these Terms; or (iv) your violation of any applicable law or third-party rights.

14. Termination

You may close your account at any time by contacting us at support@vinoraai.wine. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law.

Upon termination:

• Your licence to use the Platform immediately ceases.
• Provisions that by their nature should survive (including intellectual property, indemnity, limitation of liability, and governing law) will continue to apply.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

For users in the European Union, nothing in this clause affects your rights under applicable consumer protection laws.

16. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via in-app notification or email at least 14 days before they take effect. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you should stop using the Platform and close your account.

17. General Provisions

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary, or severed, without affecting the enforceability of the remaining provisions. Our failure to enforce any right or provision does not constitute a waiver of that right. These Terms constitute the entire agreement between you and Vinora regarding your use of the Platform.
